STANDARD TERMS AND CONDITIONS OF SALE


The Client explicitly waives its own standard terms and conditions of purchase or service, even if those were drawn up after these Standard Terms and Conditions of Sale. In order to be valid, any derogation or amendment to these terms must be expressly agreed to in advance by both parties in writing.

1. PAYMENT TERMS AND LATE FEES
Our invoices are payable within twenty-one (21) working days, unless another payment timeframe is explicitly indicated on either the invoice, the contract, or the order. In the event of non-payment by the due date, BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC reserves the right to charge a late payment penalty (penalty interest) at a rate of 0.4% of the overdue amount for each day of delay, provided that the total penalty shall not exceed 50% of the remaining debt. In the event of a payment delay, BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC is authorized to suspend any provision of services, provided that the Client is notified via email at least three (3) working days prior to such suspension.

2. DEBT RECOVERY AND LEGAL EXPENSES
If a payment remains outstanding for more than sixty (60) days after the due date, BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC reserves the right to engage third-party legal counsel, collection agencies, or assign the debt claim to recover the outstanding balance. All documented legal fees, court expenses, and recovery costs shall be payable in full by the Client.

3. INTERNATIONAL TAXATION AND WITHHOLDING
Certain countries apply withholding tax at source on invoice amounts in accordance with their internal legislation. Any withholding tax at source must be paid by the Client to their local tax authorities independently. Under no circumstances shall BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC cover or absorb costs related to the tax legislation of the Client's country. The invoice amount shall be due to BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC in its entirety, net of any local taxes, withholding, or banking fees.

4. SCOPE OF LIABILITY AND OBLIGATIONS
BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC undertakes to put forward its best efforts to supply high-quality services within the agreed timeframes. However, its technical obligations regarding equipment configuration and integration are defined strictly by the mutually agreed Technical Specifications (TS) and cannot be interpreted as an absolute obligation to achieve speculative results beyond its control. BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC cannot, under any circumstances, be required by the Client to appear as a third party in the context of any claim for damages filed against the Client by an end consumer.

5. CLAIMS AND NOTICES
In order to be admissible, any claim regarding the quality or quantity of the supplied goods or services must be submitted to BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC in writing (via courier or official Electronic Data Interchange channels). Claims for visible/apparent defects must be submitted within ten (10) calendar days from the date of delivery or signing of the Acceptance Act. Claims for hidden technical defects must be submitted within the established warranty period of the equipment.

6. GOVERNING LAW AND JURISDICTION
All contractual relations between the parties and any disputes arising therefrom shall be governed exclusively by the laws of the Republic of Uzbekistan. Any unresolved disputes shall be submitted to the Economic Court at the registered legal address of the Provider (BAIHAI SOLAR ENGINEERING AND TECHNICAL SERVICE FE LLC).
